Terms & Conditions DEFINITIONS Unless stated otherwise, capitalized terms shall have the definitions provided below: Account refers to the user-created profile on the Site, established in accordance with the terms of the Agreement, and approved by Omgrid. Agreement encompasses the Terms and Conditions, Privacy Policy, and any other terms mutually agreed upon between Omgrid and the User regarding the Services. Applicable Law includes statutes, regulations, ordinances, rules, judgments, orders, decrees, clearances, authorizations, directives, policies, codes of practice, or any other governmental or regulatory requirements, interpretations, or decisions by authorities having jurisdiction over this Agreement's subject matter. Broker refers to all individuals or entities, including brokers, channel partners, sales agencies, and other intermediaries, who represent or act on behalf of a party in transactions involving the transfer of property such as sale, purchase, lease, or license of plots, apartments, or buildings. This definition encompasses those involved in marketing, promoting, and negotiating such transfers for compensation, whether as commission or other fees. It also includes individuals or entities that introduce potential parties for negotiations, property dealers, middlemen, and real estate agents as defined by the Real Estate (Regulation and Development) Act, 2016. Computer Virus refers to any computer instruction, data, information, or program designed to disrupt, damage, degrade, or negatively impact the performance of a computer resource. This definition also includes any code or program that attaches itself to another computer resource and operates upon execution of a program, data, instruction, or upon the occurrence of a specific event within that computer resource. Confidential Information refers to all non-public information, whether spoken, written, electronic, or in any other form or medium, directly or indirectly related to the assets, business operations, processes, methods, policies, subscription plans, publications, research, services, strategies, techniques, agreements, contracts, transactions, negotiations, know- how, trade secrets, computer programs, software, applications, operating systems, software and web design, work-in-progress, databases, manuals, records, reports, systems, materials, sources of material, supplier and vendor details, user data, financial data, accounting records, legal matters, marketing and advertising materials, pricing details, credit information, developments, internal controls, security measures, graphics, drawings, sales data, costs, formulas, product plans, designs, ideas, inventions, original works of authorship, discoveries, and specifications of Omgrid, its affiliates, or their respective businesses. This also includes information entrusted to Omgrid in confidence by existing or potential customers, suppliers, investors, or other associated third parties. Content refers to all data, information, and material available on the Site. Government Authority refers to any governmental body, state or political subdivision thereof, entity with executive, legislative, judicial, regulatory, or administrative functions related to government, or any other governmental agency, department, board, commission, or instrumentality, including courts, tribunals, or arbitrators of competent jurisdiction. This also includes any self-regulatory organization, agency, or authority, whether governmental or non-governmental, with jurisdiction over the Agreement and the Services provided under the Agreement. Intellectual Property refers to patents, inventions, know-how, trade secrets, trademarks, service marks, designs, tools, devices, models, methods, procedures, processes, systems, principles, algorithms, works of authorship, flowcharts, drawings, and other confidential and proprietary information. This also includes data, documents, instruction manuals, records, memorandum, notes, user guides, ideas, concepts, materials, discoveries, developments, and other copyright able works and techniques, whether in printed or machine-readable form. Such Intellectual Property is not in the public domain or would inherently be considered as falling within the public domain. Intellectual Property Rights encompass: (a) All rights, titles, and interests, including but not limited to patents, trademarks, and copyrights as provided under the Patents Act, 1970, Trademarks Act, 1999, and Copyright Act, 1957, respectively, or any statutory or common law rights, including patent rights, copyrights including moral rights, and similar rights worldwide, whether transferable or not; (b) Any licenses, permissions, and grants associated with such rights; (c) Applications for any of the aforementioned rights and the rights to apply for them globally; (d) Rights to secure and maintain registrations for Intellectual Property; (e) All extensions and renewals of such rights; (f) All causes of action, past, present, or future, related to such rights, including rights to damages and profits, due or accrued, from past, present, or future infringements or violations, and the rights to initiate legal proceedings to recover the same; (g) Any Confidential Information. Omgrid refers to Omgrid India Private Limited, a company incorporated under the Companies Act, 2013, with its registered office in Delhi, India. This definition includes its officers, directors, employees, representatives, and the Site. Privacy Policy refers to the privacy guidelines of Omgrid as specifically outlined in Section II. Prohibited Conduct includes the User's use of the Service in contravention of the Agreement or Applicable Law, violation or abatement of violations of third-party rights, unauthorized use or misappropriation of Omgrid’s or any other party's Intellectual Property Rights, attempts to gain unauthorized access to the Site, Services, or associated systems or networks, creating internet links to the Site or "framing" or "mirroring" Site content on other servers or devices, sending spam, duplicated, or unsolicited messages, storing or sharing unlawful or tortuous material, including content harmful to minors or violating third-party privacy rights, modifying or creating derivative works based on the Service, and impersonating any person or entity, falsely claiming affiliation, accessing another user's Account without permission, or providing false User Information. Registration Data encompasses the mobile number, email address, username, and any other details or information required by Omgrid, which the User provides during initial application and subscription. Personal Information refers to details such as Aadhar Card, PAN Card, biometric data, financial information including bank account, debit card, and credit card details, as well as any other sensitive information that personally identifies the User or the concerned individual. Services refer to the offerings provided by Omgrid within India, encompassing the following: connecting tenants and property owners without brokerage fees, assisting Users in listing properties for rent, aiding Users in purchasing or securing properties through the Site, handling paperwork and documentation such as lease agreement registration, bank franking, police verification, and society approvals for rental properties listed on the website, offering advertisement space for products or services, facilitating receipt of advertisements and promotional messages via the Site, email, and text messages, providing a building-specific network for residents to interact and share neighborhood knowledge, enabling Users to make rental payments to other Users via third-party payment gateways on the Site, and connecting Users with various Third Party Service Providers for related services. Site refers to the website owned, operated, and managed by Omgrid India Private Limited, accessible at the URLs www.omgrid.in and www.omgrid.com. Additionally, it includes the mobile application owned, operated, and managed by Omgrid India Private Limited. Terms and Conditions refer to the terms and conditions outlined in the Agreement, specifically detailed in Section I. Third Party Service Provider refers to any service provider with whom Omgrid has entered into an agreement to offer services supplementary to the Services provided to the User. User refers to any individual who accesses the Site or utilizes the Services on the Site for purposes such as hosting, publishing, sharing, transacting, displaying, or uploading information or views. This definition encompasses both tenants and property owners seeking potential tenants, as well as other individuals jointly engaging in using the Site. User Information refers to Registration Data, Personal Information, and any other data or details related to the User, supplied by the User to Omgrid in connection with the Services. This includes information provided through the Site, email, or any other form of communication mutually acceptable to the User and Omgrid. INTERPRETATION In this Agreement, unless the context otherwise requires or a contrary indication appears: (a) References to legislation or law include any amendments, supplements, or re-enactments of such legislation or law, and any statutory provision includes subordinate legislation made under that provision from time to time. (b) The term "person" includes individuals, corporations, partnerships, unincorporated organizations, or governmental agencies. It also encompasses their respective successors, permitted assigns, legal representatives, administrators, executors, heirs, and trustees for the time being. (c) Section and Clause headings are for convenience and reference only and shall not affect the interpretation of the relevant Sections and Clauses. (d) The singular shall include the plural and vice versa, and words denoting a particular gender include all genders. (e) The terms 'other' or 'otherwise' and 'whatsoever' shall not be interpreted ejusdem genesis or as limiting the scope of any preceding words or matters specifically mentioned. ACCEPTANCE OF THE TERMS AND CONDITIONS i. Omgrid agrees to provide the Services to the User, and the User agrees to avail themselves of these Services from Omgrid, based on and in compliance with this Agreement. The User's acceptance of the Terms and Conditions and Privacy Policy constitutes the Agreement between the User and Omgrid, superseding all prior arrangements between them regarding the Services and Site access. ii. Each time the User accesses the Site or completes the registration process, the User commits to abide by the terms of this Agreement. iii. The User warrants to Omgrid that they are at least 18 years of age and possess the legal capacity to enter into, execute, and adhere to this Agreement. Individuals below the age of 18 may only access the Site or utilize the Services with the guidance, supervision, and/or prior consent of their parents or legal guardians. Omgridis not responsible for verifying the User's age. ACCESS TO THE SITE i. Initial access to the Site for preliminary browsing is available to first-time Users without the necessity of creating an Account. ii. The User agrees to provide User Information, upload Content, and establish an Account to access specific information and utilize the Services. iii. Omgrid will authenticate the Account by requesting a one-time password from the User. The User acknowledges and agrees that a mobile number may be used only once for Account creation. Creating multiple Accounts is prohibited, and Omgrid reserves the right to verify and detect such duplicity of Accounts and take necessary action. iv. The User agrees to cooperate with Omgrid's personnel as required for facilitating the User's access to the Site. SUBSCRIPTION PLANS i. Omgrid offers a range of Services that Users may subscribe to based on their requirements, upon payment of the applicable fees. ii. The subscription fee remitted by the User is generally non-refundable, unless the User opts for the Money back Plan as specified on the Site. iii. Omgrid reserves the unilateral right to modify the fees for any subscription plan without prior notice to the User, whether before, during, or after the subscription tenure. In the event of such fee revision, Omgrid will notify the User of the updated fees, and the User agrees to remit any additional amount resulting from such revision. USER INFORMATION i. Omgrid disclaims any responsibility or liability for the accuracy, quality, integrity, legality, reliability, appropriateness, and Intellectual Property Rights associated with the User Information. ii. Omgrid shall not be liable for the deletion, correction, destruction, damage, loss, or failure to store any User Information, whether in whole or in part. iii. Omgrid reserves the unilateral right to restrict access to, remove, or delete any User Information from the Site, either in whole or in part, at its sole discretion. iv. Omgrid reserves the right, but not the obligation, to retain or forward any User Information and to authenticate the validity of any User Information provided through the Site or other means. RIGHTS OF OMGRID i. Omgrid reserves the right to reject or disable any Account at any time due to the User’s violation of Applicable Law, breach of this Agreement, or any action by the User that jeopardizes the secure operation of the Site. ii. In compliance with Applicable Law, Omgrid maintains an internal mechanism to verify and conduct background checks on User Information and Accounts to prevent Brokers from registering on the Site. If a User is identified as a Broker, Omgrid may reject or disable such Account without providing a reason. iii. Omgrid retains the right to modify, suspend, or terminate any portion of the Services, including features, structure, fees, and layout, and may suspend or deactivate a User Account or access to the Site, either temporarily or permanently, without prior notice. iv. Omgrid will attempt to notify the User in advance of any Site suspension or deactivation, without being obligated to do so, for purposes such as repairs, government inspections, maintenance, upgrades, or other reasons deemed necessary by Omgrid, Omgrid will make reasonable efforts to resolve any Site disruptions or errors and restore regular operations. v. Omgrid may communicate with the User through notifications, confirmations, or other messages on the Site, via email, text messages, or other agreed-upon methods. Additionally, Omgrid may send promotional or relevant information related to the Services, including occasional email bulletins, neighborhood insights, tips, suggestions, or third-party offers. Omgrid does not guarantee the validity of these offers. Users may opt-out of receiving such communications or promotional materials at any time by emailing hello@Omgrid.com UNAUTHORIZED ACCESS i. The User is solely responsible for all activities carried out through their Account and is obligated to safeguard the Account details and password. ii. Pursuant to Applicable Law, the User must promptly notify Omgrid upon discovering any unauthorized access to or misuse of the Account that compromises its security, in accordance with Omgrid’s Terms and Conditions and Privacy Policy. iii. Omgrid will provide assistance by promptly suspending or terminating the compromised Account and implementing necessary security measures. However, Omgrid shall not be held accountable for any unauthorized access to the Account or any resulting loss or damage incurred by the User due to such unauthorized access, or due to the User's delay or failure in notifying Omgrid. iv. To enhance the security of User Information, Users are advised to periodically change their Account password. USE OF INFORMATION i. Omgrid assures that the collection, storage, use, and dissemination of all information, including User Information and/or Content, under this Agreement will comply at all times with the Information Technology Act, 2000, its associated rules, and other relevant Applicable Laws, even upon termination or expiration of the Services or Agreement with the User. ii. The User grants Omgrid an irrevocable and unconditional authorization to utilize User Information for the following purposes: (a) Provision of Services as per the terms of this Agreement; (b) Disclosure of User Information to its directors, officers, employees, advisors, auditors, legal counsel, or authorized representatives on a need-to-know basis for Service provision; (c) Contacting and facilitating services with a Third Party Service Provider based on the arrangement between Omgrid and said Third Party Service Provider; (d) Conducting internal studies, consumer research, surveys, and preparing reports related to the Services; (e) Managing Account registration data or receiving alerts, or contacting property sellers/buyers; (f) Sending alerts, contact details, promotional messages, and promotional calls either directly by Omgrid or through its partners, vendors, sub-partners, or sub-vendors; (g) Disclosing personally identifiable information to third parties, including law enforcement agencies and the User’s building management, where Omgrid has reasonable grounds to suspect Users of engaging in Prohibited Conduct. Third party services (a) Upon the User's request or as deemed necessary by Omgrid, Omgrid may engage Third-Party Service Providers, either directly or indirectly, to facilitate the provision of Services to Users. Such engagement will be in accordance with separate terms and conditions agreed upon between Omgrid and the Third-Party Service Provider. (b) Omgrid may suggest the services of a Third-Party Service Provider to the User to offer a comprehensive experience related to ancillary services, including but not limited to furniture packaging and moving, neighborhood information, or doorstep registration facilities. (c) The User grants Omgrid explicit consent to share User Information, either in whole or in part, with the Third-Party Service Provider, without any separate notification to the User. (d) The Site may feature Third-Party Service Providers for the purpose of advertising or promoting their services related to the Services offered by Omgrid. (e) This arrangement does not establish an agency, partnership, or joint venture between Omgrid and any Third-Party Service Provider. The relationship defined in this clause operates strictly on a principal-to-principal basis. Each party retains distinct responsibilities, rights, liabilities, and obligations as outlined in the respective bilateral agreement between them. Tailored Advertising (a) The User acknowledges and consents to Third-Party Service Providers utilizing cookies or similar technologies to gather information about the User's usage patterns related to the Services. This data may be used by Third-Party Service Providers to inform, optimize, and present advertisements based on the User’s activities on the Site and general online behavior, as well as to report on advertisement impressions and interactions with these impressions in relation to the User’s visits to such third-party websites. (b) Omgrid allows Third-Party Service Providers to display tailored advertisements to the User on the Site. Additionally, these Third-Party Service Providers are permitted to utilize their own cookies or similar technologies on the User’s device to facilitate access to the Site or use of the Services. (c) The User acknowledges and agrees that when using the Services through a mobile application, the User may receive tailored in-application advertisements. Each mobile operating system provides specific guidance on how to opt-out of such tailored in- application advertisements. (d) Omgrid does not warrant or guarantee the accuracy, completeness, or quality of any content provided by Third-Party Service Providers. The User's interactions with Third-Party Service Providers, including the purchase and delivery of goods or services,and any associated terms, conditions, warranties, or representations, are solely between the User and the Third-Party Service Provider. Omgrid shall not be liable for any damages arising from or related to such interactions. The information provided on the Site is presented to Users on an "AS IS, WHERE IS" basis. OMGRID PLATFORM The Users acknowledge and agree that Omgrid operates solely as an online platform facilitating interactions between Users for the purpose of property listings on the Site and property searches. The Users further recognize and accept the following: i. The Users are solely responsible for selecting and interacting with other Users on the Site. Omgrid acts solely as a facilitator and shall not be held liable or responsible for the choices and interactions of Users with other Users on the Site. ii. Omgrid may provide Users with profile previews of other Users based on the information provided by the Users. However, Omgrid: (i) does not endorse or recommend any User, including house owners and tenants registered on the Site; and (ii) makes no representations or warranties regarding other Users or the properties listed by them. Omgrid shall not be liable for disputes between Users or any consequences arising from interactions between Users on the Site. iii. Information displayed on the Site regarding Users and/or third parties whose services Users may avail of through the Site is intended for general reference only. Such information is primarily self-reported by Users or third parties and may become outdated or inaccurate over time. Users are encouraged to independently verify any information they see on the Site regarding other Users or their listed properties. iv. Users understand and agree that any issues arising from interactions with other Users or third parties through the Site, including but not limited to service-related issues, Prohibited Conduct, or fraudulent activity, are strictly between the Users or third parties involved. Users shall not hold Omgrid liable for any such issues or interactions. Engaging with other Users or third parties on the Site is at the Users' own risk. v. Omgrid does not guarantee the completion of transactions or the ability or intent of Users to fulfill their obligations under any transaction. Omgrid advises Users to conduct their own due diligence before engaging with other Users on the Site. OMGRID PAY TERMS & CONDITION i. Role: Any registered User of the Site may opt to make payments such as rent, maintenance, and security deposits/token amounts through the payment gateway(s) authorized by Omgrid. In doing so, Users are required to furnish standard billing details, including their name, financial instrument details such as bank account number, IFSC code, the landlord's details, and the property address for which the payment is intended. Users might also need to submit a copy of the rental agreement for reference in relation to such payments. It is the Users' responsibility to ensure that the information provided during the payment process on the Site is accurate, current, and complete. Users must also maintain the accuracy of this information and update it as necessary. Omgrid shall not be liable for any losses incurred by Users due to inaccurate information, including incorrect payment details provided by them. Omgrid's involvement is limited to processing payments that registered Users initiate or authorize. Omgrid does not participate in the underlying transactions between Users, third parties, or service providers. Omgrid is not a financial institution and does not provide banking or related services. To facilitate the Service and process transactions, Omgrid may engage one or more third-party processors ("Processors"). Omgrid does not guarantee payments on behalf of any User, third party, or Processor and explicitly disclaims all liabilities arising from any acts or omissions of Users or Processors. Omgrid does not act as an agent for lessors, lessees, or any registered Users. Omgrid solely serves as an intermediary facilitating payments between the paying registered Users and the intended third-party beneficiaries. ii. Authorization: The User grants Omgrid the authority to hold, receive, and disburse funds as per the User’s payment instructions provided through the Site, aiming to facilitate the transfer of funds to the designated beneficiary specified by the User on the Site. This authorization allows Omgrid to (a) debit or credit the User's balance, bank account, credit card, debit card, or other accepted payment methods, or (b) execute payment transactions authorized by the User through electronic funds transfers. By instructing Omgrid to make payments to another User, the User instructs and directs Omgrid to transfer the designated amounts (after deducting any applicable fees or other amounts as outlined in this Agreement) to the specified User. Omgrid reserves the right to restrict the recipient's access to or withdrawal of the transferred funds for a period mutually agreed upon between Omgrid and the recipient. iii. Fees: The User acknowledges and agrees that Omgrid may impose a service charge for utilizing the Site to process rental payments or security deposit payments. iv. Transaction Limits: Omgrid reserves the right to delay, suspend, or decline any transaction, including payments, for any reason it deems necessary. This includes, but is not limited to, instances where Omgrid suspects the transaction may pose financial or security risks, is unauthorized, fraudulent, suspicious, unlawful, in violation of this Agreement, subject to dispute, or otherwise deemed unusual. v. Charge-backs: Transactions may be subject to a charge-back or reversal by Omgrid ("Charge-back") under various circumstances, including but not limited to: (a) disputes raised by the sender, (b) reversals for any reason, (c) unauthorized transactions, or (d) transactions deemed unlawful, suspicious, or in violation of this Agreement. Upon occurrence of a Charge-back, Users are obligated to immediately reimburse Omgrid for the charged-back amount and any associated fees, fines, or penalties levied by Omgrid’s Processor, financial institutions, or payment card networks such as MasterCard, Visa, American Express, Discover, and other relevant entities ("Networks"). Users agree to cooperate with Omgrid in the investigation of such transactions at the User’s own cost. For Charge backs involving card transactions, Omgrid may collaborate with Users to challenge the Charge-back with the relevant Network or issuing banks. Users are required to provide Omgrid with necessary information for such challenges promptly. Failure by Users to timely cooperate with Omgrid in transaction investigations, including providing required documentation within 5 business days of Omgrid’s request, may lead to an irreversible Charge-back. vi. Liability: Users agree to absolve and hold Omgrid harmless from any claims or issues arising from disputes between the User and the Processor, or between the User and the User’s bank or financial institution. Furthermore, Users acknowledge that Omgrid shall not be liable for any additional fees or charges levied by the Processors during payment processing, and hereby disclaims all responsibility in relation to such charges. Users may also be bound by additional terms and conditions set forth by the Processors, which Users should review prior to authorizing any payments through such Processors. vii. Fraud and Restrictions: Omgrid reserves the right to request additional documentation, such as Rental Agreements, Owner/Tenant PAN, or Maintenance Bills, when deemed necessary or in cases where transactions appear suspicious. Omgrid will refund the full transaction amount, excluding nominal processing fees, if it determines that the payment is not a valid rent/token/security deposit/maintenance payment or if the payment is fraudulent. A valid rent/security deposit payment requires a legally valid rental agreement between the tenant and landlord, with the rent amount matching the transferred amount on Omgrid Pay. A valid maintenance payment necessitates a maintenance bill between the payer and the society/RWA. viii. Refunds: Should Omgrid encounter technical difficulties preventing the transfer of rent amounts to the beneficiary account, it will refund the payment to the source. Users are cautioned against making direct rent transfers to landlords until they receive a refund ID, which will be communicated to them via email and SMS. ix. Users acknowledge and agree that, to the fullest extent permitted by applicable law, all risks arising from their access to and use of the payment Services are solely borne by the Users. If Users permit or authorize another person to use their Omgrid account, they shall be held accountable for the actions of that individual. Neither Omgrid nor any involved party or Processor responsible for creating, producing, or delivering the payment Services shall be liable for any incidental, special, exemplary, or consequential damages. This includes lost profits, loss of data, goodwill, service interruption, computer damage, system failure, or the cost of substitute products or services. Additionally, no party shall be liable for damages arising from personal or bodily injury, emotional distress, or any claims related to these payment terms. CONTENT ON THE SITE Omgrid commits to monitor the Content on its Site to ensure compliance with Applicable Law and this Agreement. Accordingly, Users represent and warrant that they will refrain from engaging in the following activities via the Site or in connection with the Service: (i) Unauthorized Access: Attempting or assisting others to gain unauthorized access to the Site or Omgrid’s related systems or networks, including impersonating another User or using a false identity or address to access the Site. (ii) Intellectual Property Violations: Using the Site to infringe upon the Intellectual Property Rights of any individual or entity, such as posting pirated music or computer programs or links to such material on the Site or User’s Profile. (iii) Spamming: Sending spam or duplicative or unsolicited messages that violate Applicable Laws. (iv) Unlawful Content: Sending or storing infringing, obscene, threatening, libelous, or otherwise unlawful or torturous material, including material harmful to minors or infringing upon third-party privacy rights. (v) Malicious Software: Sending or storing material containing software viruses, worms, Trojan horses, or other harmful computer code, files, scripts, agents, or programs. (vi) Service Interference: Interfering with or disrupting the integrity or performance of the Service or the data contained therein. (vii) Commercial Exploitation: Licensing, sub-licensing, selling, reselling, transferring, assigning, distributing, or otherwise commercially exploiting the Service or any content within it to any third party. (viii) Modification of Service: Modifying or creating derivative works based on the Service or Omgrid’s Content. (ix) Unauthorized Links or Mirroring: Creating internet "links" to the Site or "framing" or "mirroring" any Content on any other server, wireless, or internet-based device. (x) Reverse Engineering: Reverse engineering or accessing the Service to (a) build a product competitive with the Service, (b) develop a product using ideas, features, functions, or graphics similar to those of the Service, or (c) replicate any ideas, features, functions, or graphics inherent in the Service. USER GENERATED CONTENT The Site may feature user-generated content (“UGC”), which Omgrid does not pre-screen and may include opinions from Users and experts. Such views do not reflect Omgrid’s views, opinions, beliefs, morals, or values. Omgrid does not assert any ownership rights over the text, files, images (including photos and videos), sounds, musical works, or any UGC submitted or published by Users on the Site. Upon posting UGC on the Site, Users retain any rights they may have in that UGC, subject to the limited license described herein. Omgrid will make reasonable efforts to monitor, edit, or remove such UGC when deemed appropriate or necessary. Omgrid does not warrant that the content on the Site is accurate, complete, or up-to-date, that it will not offend or upset any individual, or that it does not infringe upon the Intellectual Property Rights of third parties. Users expressly acknowledge and agree that Omgrid shall not be held liable for any losses or damages (whether direct or indirect) resulting from any actions taken by Users based on any UGC. INTELLECTUAL PROPERTY i. Omgrid acknowledges and respects the Intellectual Property Rights of others and expects its Users to do the same. Users are solely responsible for ensuring they have the appropriate Intellectual Property ownership or rights to use any information they submit through the Site. Users may not use the Site to transmit or reproduce another party's Intellectual Property. ii. Users shall be held accountable for infringements of Omgrid’s Intellectual Property Rights, including but not limited to: (a) Misrepresenting User Information or Content as their own; (b) Using Content to charge brokerage fees from other Users, directly or indirectly; (c) Using Content to charge brokerage fees from any third party, directly or indirectly; and (d) Displaying behavior resembling that of a Broker using the Content. iii. Users shall refrain from uploading, posting, or otherwise making available on the Site any Intellectual Property without the explicit permission of the rightful owner. Users shall bear sole liability for any damages resulting from infringements of such Intellectual Property. iv. Omgrid reserves the right to initiate legal proceedings against any User or third party for infringements of its Intellectual Property Rights, in accordance with Applicable Law. v. Users acknowledge and agree that Omgrid shall possess Intellectual Property Rights over all information and data provided or shared by Users on the Site. OPERATIONAL HAZARDS/ COMPUTER VIRUS ATTACKS i. Omgrid does not guarantee in any manner that the Site or any other software utilized by Omgrid for internal purposes will always be free from harmful components and operational hazards, such as computer viruses, worms, Trojans, or related threats that could jeopardize the information stored with Omgrid. ii. Omgrid will strive to maintain the security of the Site against potential bugs, viruses, or other technical issues in line with industry best practices. iii. Omgrid shall not be held responsible for any damages or injuries arising from performance issues, failure of performance, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, computer viruses, link failures, site crashes, software/hardware malfunctions, network unavailability, communication line failures, theft, destruction, or unauthorized access to, alteration of, or use of information. Such damages or injuries could occur either wholly or partly due to negligence or other causes. RENTAL AGREEMENT i. Upon opting for Omgrid’s rental agreement services, the User and the respective property owner are required to furnish the necessary Personal Information to facilitate the successful registration of the rental agreement. ii. Under this Agreement, the User and the concerned property owner agree and commit to the following: (a) They shall not hold Omgrid responsible for any disputes that may arise between them at any juncture; (b) They shall not hold Omgrid accountable for any losses or damages incurred by either the User or the property owner due to fraudulent, negligent acts, or any Prohibited Conduct by another User. Additionally, they agree to bear the registration or stamp duty charges for the rental agreements or any related agreements as mandated by Applicable Law, and will not attribute any penalties arising from insufficient charges to Omgrid. (c) They shall not hold Omgrid liable for any damages arising from the disclosure of information required for the registration of the rental agreement; and (d) They shall provide any additional information to third parties and/or Omgrid as required from time to time to complete the registration process. DISCLAIMER (a) The information and opinions presented on the Site regarding the Services are intended solely as guidelines for general informational purposes. Any exchange of property or other information through the Site does not constitute an offer or recommendation by Omgrid. (b) Users should not interpret the Content as legal, financial, or real estate advice. Omgrid strongly recommends that Users conduct independent research and seek professional advice before making any legal, financial, or real estate decisions. Any measurements, prices, and locations provided on the Site are approximate, and Omgrid assumes no responsibility for errors, omissions, or misunderstandings related to such information. (c) The Services are utilized by the User at their own risk and discretion. Omgrid makes no express or implied representations or warranties to the User regarding the Services or this Agreement, including any implied warranties of merchant-ability or fitness for a particular purpose. (d) Users acknowledge and understand that they assume certain risks when interacting with other Users, persons, or Third-Party Service Providers on or through the Site. Users are solely responsible for assessing their specific requirements for such interactions. (e) Omgrid expressly disclaims any liability arising from any Content or listing posted on the Site by Users or third parties, or any deficiencies in service provided by a Third-Party Service Provider to the User. (f) Omgrid does not warrant that the Services will meet the User's expectations or requirements, or that the Site will be uninterrupted or free from technical errors. (g) Omgridis not responsible for the accuracy or reliability of any third-party reports, market information, studies, or analyses available on the Site, nor for any external web links mentioned on the Site. (h) Omgrid is not obligated to physically meet or conduct background or police verification of Users. The terms "genuine verified owner" and "genuine verified tenants/buyers" refer to Omgrid’s algorithm-based process to prevent Brokers from accessing the Site. This process is on a best-effort basis with its inherent limitations. Omgrid accepts User Information in good faith and shall not be held responsible for verifying Users' authenticity. (i) Omgrid shall not be liable for any damages, expenses, costs, or losses resulting from the User’s engagement in Prohibited Conduct or from availing services of Third-Party Service Providers. (j) Omgrid shall not be liable or responsible for indemnifying, refunding, or reimbursing any User for any loss, damages, or expenses resulting from the suspension or deactivation of the User’s Account. (k) Omgrid shall not be liable for any third-party fees, costs, charges, or expenses incurred by Users for accessing the Site or availing the Services. Omgrid shall not be involved in or liable for any disputes or legal proceedings between the User and such third parties. (l) Omgrid neither accesses nor governs the use of cookies or other tracking technologies placed by Third-Party Service Providers on the Site. While these parties may allow Users to opt out of tailored advertisements, Users may still receive such advertisements and related updates. Omgrid assumes no responsibility or liability for the User’s receipt or use of such tailored advertisements. (m) Omgrid shall not be liable for the non-performance, defective performance, or late performance of any Services or obligations under this Agreement if such issues result from acts of God, war (declared or undeclared), civil insurrection or unrest, acts (or failures to act) of any Governmental Authority, riots, revolutions, fire, floods, strikes, lock-outs, or industrial actions. LIMITATION OF LIABILITY Omgrid’s total aggregate liability under this Agreement, arising from any actions taken or not taken in connection with this Agreement, shall be limited to the fees paid by the User for the specific Services giving rise to such liability. INDEMNITY Omgrid, along with its officers, directors, employees, and agents, collectively and at all times, shall be indemnified against any losses, costs, expenses, claims, suits, and damages (including reasonable attorney fees), whether incurred directly or indirectly, arising from: (a) any act or failure to act by any User, person, or Third-Party Service Provider for any reason; (b) breaches by the User of any terms of this Agreement; (c) third-party claims arising from an infringement or alleged infringement of their Intellectual Property due to the User’s actions; (d) claims initiated by any Government Authority resulting from the User’s violation of Applicable Law; or (e) actual or alleged gross negligence or willful misconduct by the User in connection with their use of the Services or this Agreement; (f) fraudulent acts committed by a User leading to loss or damage suffered or incurred by another User or any third party. REAL ESTATE REGULATORY AUTHORITY (a) For the purposes of this Agreement and Services related thereto, it is assumed that Users are familiar with the rules and regulations governing the Real Estate Regulatory Authority (RERA) of the respective state in India. Omgrid advises Users to regularly check the relevant RERA website for updates and information regarding any property listed on the Site before finalizing any transaction or deal. (b) Omgrid neither endorses nor advertises any property listed on the Site. Omgrid shall not be held accountable for listing any property on its Site that violates the rules established under the RERA of the respective state. Moreover, Users should not infer or assume any affiliation or association between Omgrid and the parties listing their properties on the Site. USER GRIEVANCE Users with grievances concerning discrepancies or misuse of information provided to Omgrid can contact the designated grievance officer appointed by Omgrid for this purpose. For immediate assistance or inquiries, LEAs can also reach out to our Customer Helpline Number - 859-504- 2346. Our helpline is operational seven days a week, from 10:00 AM to 7:00 PM. We strive to respond to all requests within 72 hours upon receipt. WAIVER AND SEVERABILITY i. Omgrid’s failure or delay in exercising any right or remedy under this Agreement shall not constitute a waiver of such right or remedy. ii. Should any provision of this Agreement be declared invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. iii. The invalid or unenforceable provision shall be interpreted in a manner that best reflects the original intent of Omgrid in drafting such provision. AMENDMENT (a) Omgrid reserves the right to amend, update, or modify this Agreement, in whole or in part, without prior notice to the User. However, any such changes, updates, or modifications will be notified on the Site. (b) The User's continued use of the Services and the Site after such changes, updates, or modifications have been posted shall constitute acknowledgment and acceptance of the revised Agreement. GOVERNING LAW AND JURISDICTION Any action, claim, dispute, or difference arising from or related to this Agreement, including any question regarding its existence, validity, or termination (Dispute), shall be governed by and construed in accordance with the laws of India. The courts in Delhi shall have exclusive jurisdiction over any Disputes arising from this Agreement. However, Omgrid retains the right to initiate proceedings in courts or tribunals of any jurisdiction other than Delhi, as it may deem appropriate and convenient in its
